SMS MESSAGING TERMS OF USE

Limited-Purpose, Targeted Healthcare Program Outreach

Effective Date: March 23, 2026


Optimize Health Partners, LLC uses SMS messaging on a limited and targeted basis only. Messages are sent exclusively to identified healthcare professionals, program administrators, and stakeholders who we believe would directly benefit from our healthcare analytics, Medicaid program intelligence, and related services. We do not send mass, unsolicited, or promotional text blasts.


1. Program Description

Optimize Health Partners, LLC ("OHP," "we," "us," or "our") operates a limited-purpose SMS messaging program to communicate directly with specifically identified individuals — including state Medicaid directors, program administrators, physicians, and healthcare system leaders — who we have determined would benefit from OHP's healthcare analytics insights, program intelligence, and service offerings.

Our SMS program is intentionally narrow in scope. We do not operate a general consumer marketing text program. Each message sent is purposeful, relevant to the recipient's professional role, and directly connected to OHP's mission of advancing healthcare outcomes through data and analytics.

Message types that may be sent under this program include:

• Program Awareness: Notification of OHP analytics capabilities, Medicaid program offerings, or partnership opportunities directly relevant to the recipient's organization or jurisdiction;

• Event & Meeting Coordination: Outreach related to scheduled meetings, demonstrations, webinars, or program briefings;

• Follow-Up Communications: Professional follow-up to prior correspondence, proposals, or requests for information;

• Regulatory & Procurement Alerts: Time-sensitive notifications regarding Medicaid procurement opportunities, federal RFIs, or program deadlines directly relevant to the recipient's role; and

• Service Updates: Material updates to OHP services, platform capabilities, or program offerings relevant to existing contacts.


2. Eligibility & How You Are Contacted

OHP's SMS program is directed exclusively to professionals and organizational representatives. You may receive an SMS from OHP if:

• You have previously provided your mobile phone number to OHP in a professional context;

• You hold a role — such as a state Medicaid director, managed care organization executive, healthcare system administrator, or clinical program leader — where OHP has determined our information is directly relevant to your responsibilities;

• You have opted in to receive SMS communications from OHP through a registration form, event sign-up, or direct request; or

• You are a current or prospective OHP business partner, client, or vendor contact.

OHP does not purchase consumer SMS lists or engage in unsolicited mass text campaigns. All outreach is conducted with deliberate, targeted intent.


3. Consent & Opt-In

By providing your mobile phone number to OHP and not opting out after receiving an initial message, you consent to receive SMS communications from OHP as described in these Terms. Where required by applicable law, OHP will obtain your express written consent prior to sending the first SMS message.

Consent to receive SMS from OHP is entirely voluntary. You will not be denied any service, benefit, or access to OHP programs based on your decision to opt out of SMS communications.

Standard message and data rates may apply depending on your mobile carrier and plan. OHP is not responsible for any charges imposed by your wireless provider.


4. Message Frequency

Because OHP's SMS program is limited in purpose and targeted in nature, message frequency is deliberately low. You should expect:

• No more than a small number of messages per month, and typically far fewer;

• Messages only when there is a specific, relevant reason to contact you; and

• No recurring automated promotional messages or subscription-style messaging cadences.

OHP reserves the right to send a single follow-up or confirmation message after an initial outreach, and a final opt-out confirmation upon request.


5. How to Opt Out

5.1 Opting Out via Text

You may opt out of OHP SMS communications at any time by replying STOP to any text message received from OHP. Upon receipt of a STOP message, OHP will send one final confirmation that you have been removed from our SMS program. No further messages will be sent to that number unless you affirmatively opt back in.

5.2 Opting Out via Direct Contact

You may also opt out by contacting OHP directly using the contact information provided in Section 9 of these Terms. We will process your opt-out request promptly and in compliance with applicable law.

5.3 Effect of Opt-Out

Opting out of SMS communications will not affect your ability to receive email communications from OHP (which are governed by OHP's Privacy Policy and separate email preferences), nor will it affect any contractual or service relationship you have with OHP.


6. Help & Support

For assistance with OHP's SMS program, reply HELP to any OHP text message. You may also contact us directly at the information provided in Section 9. OHP is not responsible for errors or delays caused by your mobile carrier or network.


7. Privacy & Data Use

Your mobile phone number and related contact information collected in connection with OHP's SMS program are used solely to deliver the communications described in these Terms and to maintain required opt-in and opt-out records. Your information is not sold to third parties.

SMS communications from OHP do not contain Protected Health Information (PHI) as defined under HIPAA. Where OHP functions as a Business Associate to a covered entity, all PHI is handled exclusively through HIPAA-compliant secure channels governed by a separate Business Associate Agreement, not through SMS.

8. Compliance

OHP's SMS program is designed to comply with all applicable federal and state laws governing commercial text messaging, including:

• Telephone Consumer Protection Act (TCPA), 47 U.S.C. § 227, and FCC regulations promulgated thereunder;

• CAN-SPAM Act, 15 U.S.C. §§ 7701–7713, as applicable to electronic messaging;

• CTIA Messaging Principles and Best Practices; 

• Applicable state telemarketing and consumer protection statutes; and 

• HIPAA/HITECH, to the extent any OHP SMS communications involve health information (noting that marketing SMS from OHP does not contain PHI).

OHP maintains records of SMS consent, opt-in confirmations, and opt-out requests for a minimum of four (4) years consistent with TCPA compliance requirements.

10. Changes to These Terms

OHP reserves the right to modify these SMS Terms of Use at any time. Material changes will be communicated to active SMS contacts prior to taking effect. Continued receipt of OHP SMS messages following notification of changes constitutes acceptance of the revised Terms. You may opt out at any time as described in Section 5.
